Strongco <\/b>Corporation <\/b>and <\/b>Nors<\/b>, <\/b>S<\/b>.<\/b>A<\/b>. <\/b>are pleased <\/span>to <\/span>announce <\/span>that <\/span>they have <\/span>entered <\/span>into <\/span>a definitive <\/span>arrangement <\/span>agreement <\/span>(<\/span>the <\/span>\u201c<\/b>Arrangement <\/b>Agreeme<\/b>nt<\/strong>“<\/span>) <\/span>pursuant to <\/span>which <\/span>Nors <\/span>will <\/span>acquire <\/span>Strongco <\/span>(<\/span>the <\/span>\u201c<\/span>Proposed <\/b>Transacti<\/b>on<\/strong>“<\/span>)<\/span>.\u00a0<\/span><\/p>\n

Under the <\/span>terms <\/span>of <\/span>the <\/span>Arrangement Agreement<\/span>, <\/span>Nors<\/span>, <\/span>through <\/span>a <\/span>wholly<\/span>–<\/span>owned <\/span>subsidiary<\/span>, <\/span>will <\/span>acquire <\/span>all <\/span>of <\/span>the <\/span>outstanding <\/span>equity <\/span>of <\/span>Strongco <\/span>for <\/span>CAD<\/span>$<\/span>3<\/span>.<\/span>15 <\/span>per <\/span>share <\/span>in <\/span>cash <\/span>(<\/span>th<\/span>e <\/span>\u201c<\/span>Consideration<\/b>“<\/span>) <\/span>and <\/span>results <\/span>in <\/span>a transaction value <\/span>of <\/span>approximately <\/span>CAD<\/span>$<\/span>193 <\/span>million <\/span>(<\/span>inc<\/span>l<\/span>usive <\/span>of <\/span>Strongco<\/span>‘<\/span>s <\/span>net <\/span>interest bearing <\/span>debt<\/span>)<\/span>. <\/span>The <\/span>Consideration <\/span>represents <\/span>a <\/span>premium <\/span>of <\/span>75<\/span>% <\/span>to <\/span>the <\/span>closing <\/span>price <\/span>of <\/span>the Strongco shares <\/span>on <\/span>the <\/span>Toronto <\/span>Stock <\/span>Exchange <\/span>on January <\/span>23<\/span>, <\/span>2020 <\/span>and <\/span>a <\/span>premium <\/span>of <\/span>80<\/span>% <\/span>to <\/span>the volume<\/span>–<\/span>weighted <\/span>average <\/span>trading <\/span>price <\/span>on <\/span>such <\/span>exchange <\/span>for <\/span>the <\/span>60 <\/span>days <\/span>ended <\/span>on <\/span>such <\/span>date<\/span>.\u00a0<\/span><\/p>\n

The Proposed <\/span>Transaction has <\/span>the <\/span>u<\/span>nanimous support <\/span>of <\/span>the <\/span>independent <\/span>special <\/span>committee of the <\/span>Strongco <\/span>board<\/span>, <\/span>as <\/span>well <\/span>as <\/span>Strongco<\/span>‘<\/span>s full <\/span>board<\/span>, <\/span>which <\/span>have <\/span>(<\/span>i<\/span>) <\/span>determine<\/span>d<\/span>, <\/span>after <\/span>receiving <\/span>financ<\/span>i<\/span>al <\/span>and <\/span>legal <\/span>advice<\/span>, <\/span>that <\/span>the <\/span>consideration <\/span>to <\/span>be <\/span>received <\/span>by Strongco<\/span>‘<\/span>s <\/span>shareholders <\/span>is <\/span>fair <\/span>from <\/span>a <\/span>financial <\/span>point <\/span>o<\/span>f <\/span>v<\/span>iew <\/span>an<\/span>d <\/span>that <\/span>the <\/span>Proposed <\/span>Transaction <\/span>is <\/span>in <\/span>the <\/span>best <\/span>interests <\/span>of <\/span>Strongco<\/span>, <\/span>and (<\/span>ii<\/span>) <\/span>recommended <\/span>the <\/span>approval <\/span>of <\/span>the Proposed <\/span>Transaction <\/span>by <\/span>Strongco<\/span>‘<\/span>s <\/span>shareholders<\/span>. <\/span>In <\/span>addition<\/span>, <\/span>all <\/span>of <\/span>the <\/span>directors <\/span>and <\/span>officers <\/span>of <\/span>Strongco<\/span>, <\/span>as <\/span>well <\/span>as <\/span>certain <\/span>significant <\/span>shareholders <\/span>of <\/span>Strongco<\/span>, <\/span>have <\/span>entered into <\/span>voting <\/span>support <\/span>agreements <\/span>with <\/span>Nors <\/span>under <\/span>which <\/span>they <\/span>will <\/span>vote <\/span>an <\/span>a<\/span>gg<\/span>regate <\/span>of <\/span>approximately <\/span>48<\/span>% <\/span>of <\/span>Strongco<\/span>‘<\/span>s <\/span>outstanding <\/span>shares <\/span>in <\/span>favour <\/span>of <\/span>the <\/span>Proposed <\/span>Transaction<\/span>.\u00a0<\/span><\/p>\n
